Lemmesa Terms of Service

These are the terms for using Lemmesa. They are a contract between you and Montiel Systems LLC, a Florida limited liability company at 3612 W Granada St, Tampa, FL 33629, USA ("Lemmesa", "we"). By creating an account, joining the waitlist, installing the Lemmesa Chrome extension, or using lemmesa.com, you agree to them. If you don't agree, don't use Lemmesa.

Our Privacy Policy explains what data we collect and why. It is part of these terms.

1. What Lemmesa is

Lemmesa is a Spanish-reading app. It gives you a library of texts, tracks which words you know, schedules reviews, and lets you bring your own material — files you upload, articles you clip, YouTube videos and podcasts you save, and subtitles from streaming services you already subscribe to — so you can read and study Spanish in things you actually want to read and watch.

Lemmesa is currently invite-only. Joining the waitlist does not create an account or guarantee one. Lemmesa is a paid subscription — US $15 per month after a 7-day free trial. Section 10 has the details.

2. Who can use it

You must be 16 or older. If you are under 16, don't create an account or join the waitlist; if we learn we have data from someone under 16, we delete it.

You must be able to enter a binding contract where you live. If you use Lemmesa for an organization, you confirm you may bind it to these terms.

3. Your account

You sign in with an emailed link or with Google. There is no password. Keep your email account secure; anyone who controls it controls your Lemmesa account.
One account per person. Don't share it or transfer it.
Tell us at privacy@lemmesa.com if you think someone else has used your account.
You can delete your account at any time from Settings. Deletion is immediate and permanent; see the Privacy Policy, section 10, for what it removes.

4. Your content

"Your content" is everything you put into Lemmesa: files you upload, web articles you clip, YouTube videos and podcast episodes you save, subtitle tracks the extension reads while you watch, sentences you save as cards (with any captured frame or audio clip), story prompts, questions to the tutor, interests, notes, and feedback.

You own it. We claim no ownership of your content.

You give us permission to handle it. So that Lemmesa can work, you grant us a worldwide, non-exclusive, royalty-free license to store your content, process it (including tokenizing it and sending it to our AI provider for translation, explanation, simplification, and story writing, as described in the Privacy Policy), and show it back to you. This license is for running and improving Lemmesa for you. It ends when you delete the content or your account, except for copies in backups and logs that expire on the schedule in the Privacy Policy, and except for feedback (below).

Your content is private to you. Other users cannot see your uploads, clips, imports, cards, or captures. One exception is described in section 5.4: translations of streaming subtitles are computed once per title and reused.

Feedback you send us (bug reports, ideas, replies to our emails) may be used by us without restriction or payment.

You are responsible for your content. You confirm that you have the right to use it with Lemmesa — that it is your own, in the public domain, licensed to you for this use, or otherwise lawfully available to you for personal study — and that using it with Lemmesa does not break any law or any agreement you have with someone else.

5. Importing, the extension, and other people's content

This section matters. Most of what makes Lemmesa useful is material that belongs to someone else: the book you uploaded, the article you clipped, the captions of a video, the subtitles of a film. Lemmesa is a tool for studying that material. Whether a given use is allowed depends on where it came from, what you do with it, and what you agreed to with whoever provided it. Read this section before you import anything.

5.1 What the import features do

Uploads. You give us a .txt, .pdf, or .epub. We extract the text and keep it as a private book on your shelf. The original file is not kept.
Web articles. With the extension open on a page, you press Save. The article's text and address are stored privately.
YouTube. You press Save on a video. The video's Spanish captions are stored privately as a transcript.
Podcasts. You pick an episode from a public feed. We send the public audio to a transcription service and store the transcript privately.
Streaming subtitles. With the extension connected on Netflix, Prime Video, HBO Max, or Disney+, the extension reads the subtitle track of what you are watching, sends it to us, and we return translations for a dual-subtitle overlay. You can tap words and save a sentence as a card; when you do, the extension captures a cropped still frame and a short audio clip of that moment, stored privately for you.

Everything above happens only on your instruction — a press, a tap, a page you chose to open with the extension. Lemmesa does not crawl, download, or import anything on its own.

5.2 Personal study only

Import features exist so you can read, listen, and review in Spanish. Use what you import for your own personal, non-commercial language study. Don't use Lemmesa to:

republish, share, sell, or distribute imported material, translations, transcripts, captures, or cards to anyone else;
build a collection of subtitles, transcripts, frames, or clips for any purpose other than your own study;
bypass a paywall, subscription, region restriction, or login you don't have;
import material you know you are not allowed to use.

Your vocabulary export (Settings → Export) is for moving your own study data to another tool. It deliberately excludes captured frames and audio.

5.3 The streaming services' own rules

Lemmesa is not affiliated with, endorsed by, or connected to YouTube, Netflix, Amazon, Warner Bros. Discovery (HBO Max), Disney, or any other platform. Their names are used only to say where the extension works.

Each of those platforms has its own terms of use, and those terms govern your relationship with them, not these. Some platform terms restrict how their service and content may be accessed or used, including with browser extensions and other tools. It is your responsibility to know and follow the terms of any service you use Lemmesa with. We cannot tell you what a platform allows, and we do not promise that using the extension complies with a platform's terms. If a platform objects to your use, that is between you and the platform; you may lose access to the platform, and we are not responsible for that.

The extension only works while you are logged into your own account on the platform and watching content you have paid for or are otherwise entitled to view. It never gives you access to anything you couldn't already watch.

5.4 What the extension does not do — and what we store

To be precise about the technical side, because it matters for copyright law:

The extension does not decrypt, unlock, or bypass any digital-rights-management or other technical protection on video or audio. It uses the browser's standard, documented capabilities. Where a platform protects playback, captured frames come back black and audio comes back silent, and the extension discards them.
The extension reads subtitle data that the platform delivers to your browser in the course of normal playback, in the same way the platform's own player does. It does not download video or audio files.
Frame and audio capture happens only after you save a sentence, is limited to that moment (audio is capped at 15 seconds), and is stored privately for you.
Subtitle translations are shared; subtitle text is not handed out. When your extension sends us a subtitle track, we translate it once and cache the translation against the track's content, so the next person watching the same title doesn't pay for a fresh translation. We never provide the subtitle text of a title to anyone who has not already supplied it from their own session on the platform, and the stored track is not readable by users. What is reused is our translation, not the platform's subtitles.

We store your imports, transcripts, cards, and captures at your direction, to provide the service to you. We do not review, curate, or monitor what you import.

5.5 Copyright complaints (DMCA)

We respect copyright and expect you to. We respond to notices under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) and to equivalent notices under the laws of other countries.

To report content on Lemmesa that infringes your copyright, send a notice to our designated agent, registered with the U.S. Copyright Office:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the material you say infringes it, with enough detail for us to find it (because user content is private, tell us what you know: the account email if you have it, the title, the date); (3) your name, address, email, and phone number; (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them; and (6) your physical or electronic signature.

What we do. We remove or disable access to the material identified, notify the user who imported it, and record the notice. If we receive a valid counter-notice from the user (with their contact details, a statement under penalty of perjury that the material was removed by mistake or misidentification, consent to the jurisdiction of the federal court for their district — or, if outside the U.S., for the Middle District of Florida — and their signature), we forward it to the complaining party and may restore the material after 10 to 14 business days unless they tell us they have filed a court action.

Repeat infringers. We terminate the accounts of users who are the subject of repeated valid copyright notices, and we may terminate after a single notice where the facts warrant it.

Platform requests. If a streaming service, video platform, or other rights-holder asks us to stop a feature working with their service or to remove material, we may do so — for one account or for everyone — without notice and without liability to you.

5.6 Your responsibility for what you import

You, not Lemmesa, decide what to import and are responsible for it. If someone brings a claim against us because of content you imported or something you did with an import feature, you agree to cover our reasonable costs of dealing with it, including legal fees — to the extent the law where you live allows that. This does not apply to claims caused by our own breach of these terms or by our own negligence.

6. The shared library

Lemmesa's shared library contains texts, podcasts, and videos that are in the public domain, published under licenses that permit our use (such as Creative Commons), or licensed to us. Attribution and license information is shown where the license requires it. If you believe something in the shared library is there by mistake, tell us at privacy@lemmesa.com and we will look into it promptly.

7. AI features

Translations, explanations, glosses, simplified texts, and generated stories are produced by AI models from Anthropic, as described in the Privacy Policy. They can be wrong. They can be confidently wrong. Use them as a study aid, not as an authority, and not as professional, legal, medical, or financial advice. We do not guarantee their accuracy, completeness, or suitability.

You may use AI output Lemmesa produces for you for your own personal study. Generated stories and simplified texts are made for you and stay private to your account.

8. Acceptable use

Don't:

break the law, or help anyone else to;
use Lemmesa to harass, threaten, or harm anyone;
upload malware or anything designed to damage or interfere with Lemmesa, its users, or any third party;
scrape, crawl, or bulk-download Lemmesa's library, dictionary, translations, or any other data, by any means, other than exporting your own study data through the tools we provide;
circumvent usage limits, rate limits, daily caps, or access controls;
probe or test the security of Lemmesa without our written permission;
resell Lemmesa or offer it as a service to others;
use Lemmesa in any way that section 5 prohibits.

9. Our content and software

Lemmesa's software, design, name, logo, dictionary, glosses, example sentences, and everything we make is ours or our licensors', protected by copyright, trademark, and other laws. We give you a limited, personal, revocable license to use Lemmesa according to these terms. You may not copy, modify, distribute, or create derivative works from Lemmesa except as these terms allow, and you may not use our name or logo to suggest we endorse anything.

Third-party libraries in the extension and the app are used under their own open-source licenses.

10. Paid plans, free trial, and payments

Lemmesa is a paid subscription. Here is how it works:

Price. Lemmesa costs US $15 per month, billed monthly, plus any tax we are required to add.
Free trial. Every new subscription starts with a 7-day free trial. A payment method is required to start it. You are not charged during the trial. When it ends, your subscription begins and your card is charged the monthly price — unless you cancel before the trial ends, in which case you pay nothing.
Payments are handled by Stripe. Your card details go to Stripe, not to us — we never see your full card number. Stripe's own terms and privacy policy apply to the payment itself. See our Privacy Policy, section 7, for what Stripe receives.
Renewal. Your subscription renews each month until you cancel. You can cancel at any time from your account or by emailing privacy@lemmesa.com. Cancellation takes effect at the end of the billing period you have paid for; you keep access until then.
Refunds. Except where the law gives you a right to one, payments are not refundable and we don't prorate partial months. If you are a consumer in the EU or UK, you have a 14-day right to withdraw from a paid subscription; by starting paid service right away you agree that it begins during that period, and if you withdraw you pay only for the days used.
Price changes. We will email you at least 30 days before any price change takes effect.
Failed payments. If a payment fails, we will tell you and retry. If it keeps failing, we may downgrade or suspend paid features until it is settled.

11. Changes, availability, and beta

Lemmesa is new and changes often. We may add, change, limit, or remove features — including any import feature, and including support for any particular platform — at any time, with or without notice. Platforms change their services without telling us, and features that depend on them can stop working at any moment. We don't promise that Lemmesa will be available, uninterrupted, or error-free, and we may suspend it for maintenance or for reasons outside our control.

We keep your data as the Privacy Policy describes, and you can export your vocabulary at any time. Back up anything you can't afford to lose.

12. Ending things

You can stop using Lemmesa and delete your account at any time from Settings. Leaving the waitlist is one click from any waitlist email.

We can suspend or terminate your account if you break these terms, if we receive repeated copyright notices about your content, if we are required to by law or by a platform or rights-holder, or if we shut Lemmesa down. Where reasonable we will tell you first and give you a chance to export your data. If we terminate for breach, we may not.

When your account ends, your data is deleted as the Privacy Policy describes, and any subscription ends with it. Sections 4 (license to feedback), 5.6, 9, 10 (amounts already owed), 13, 14, and 15 survive.

13. Disclaimers

Lemmesa is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and that Lemmesa or any AI output will be accurate, reliable, or meet your needs. We do not warrant that any import feature is lawful for your intended use or permitted by any third party's terms.

Nothing in these terms limits rights you have under mandatory consumer-protection law where you live. If you are a consumer in the EU, UK, or another place with such laws, those laws prevail over anything here that conflicts with them.

14. Limitation of liability

To the fullest extent the law allows, Montiel Systems LLC and its members, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or access to any third-party service, arising from your use of Lemmesa — even if we were told they were possible. Our total liability to you for all claims arising from Lemmesa is limited to the greater of US $50 or the amount you paid us in the 12 months before the claim.

Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be excluded by law.

15. Governing law and disputes

These terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. Any dispute that can't be resolved by talking to us first will be brought in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction.

If you are a consumer in the EU or UK, you keep the protection of the mandatory laws of your country of residence and may bring a claim in your local courts; the European Commission's online dispute resolution platform is at ec.europa.eu/consumers/odr.

Please write to us before starting any formal proceeding. Most problems can be fixed in an email.

16. Changes to these terms

When we change these terms we will post the new version at lemmesa.com/terms and update the date at the top. If a change materially reduces your rights or adds obligations, we will email account holders before it takes effect. Continuing to use Lemmesa after the change means you accept it; if you don't, delete your account.

17. The rest

These terms and the Privacy Policy are the whole agreement between you and us about Lemmesa.
If a court finds part of these terms unenforceable, the rest still applies.
If we don't enforce something, we haven't waived it.
You may not assign these terms; we may assign them to a successor of Lemmesa, and we'll tell you if we do.
These terms are written in English. Any translation is for convenience; the English version controls.
